These Terms of Use ("Terms") govern your access to and use of the websites, applications, and services provided by Mechanical Trader LLC ("Mechanical Trader," "we," "us," or "our"), including mechanicaltrader.ai and the Mechanical Trader application (collectively, the "Service"). By clicking to create an account, or by otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Mechanical Trader is a software tool for behavioral performance coaching for traders. The Service helps you define your own trading rules and setups, log your own trades, and see your own execution against the rules you wrote. It also identifies recurring behaviors in your trading execution, such as trading again right after a loss or entering before your setup is complete, and coaches you on them before, during, and after your trading sessions. Those readings are computed from the trades and statements you record and describe trading behavior only. Portions of the Service use artificial intelligence to generate conversational coaching content based on the information you provide. The Service is under active development. Features may be added, changed, or removed at any time, and some features may be labeled early access or beta.
a. Not investment, financial, or trading advice. The Service does not provide investment advice, financial advice, trading signals, market analysis, price predictions, or recommendations to buy, sell, or hold any security, derivative, currency, digital asset, or other instrument. Nothing in the Service, including any output of its AI features, is a recommendation or an offer or solicitation of any kind. Mechanical Trader is not a broker-dealer, investment adviser, commodity trading advisor, or fiduciary, and is not registered with the SEC, CFTC, FINRA, NFA, or any other regulator. All trading decisions are yours alone. You are solely responsible for every trade you take and every outcome that follows. The Service may reflect your own rules, setups, risk limits, and plans back to you, ask whether a trade meets the criteria you wrote, and point out when your recorded trades depart from those criteria. It does not say what the market is doing, whether a setup is good, or what to do with a position, including whether to enter, exit, hold, add, trim, or size it, and it does not instruct you to trade or to stop trading. The Service does not consider your financial situation, objectives, or risk tolerance and is not a suitability or best-interest analysis. No fiduciary, advisory, or other professional relationship is created between you and Mechanical Trader.
b. Trading risk. Trading involves substantial risk of loss and is not suitable for everyone. You can lose more than your initial investment. Past performance, whether of a market, a strategy, or your own record as displayed in the Service, does not guarantee future results. Improvement in behavioral metrics shown by the Service does not imply or guarantee trading profits. While you are building new execution habits, we recommend using a simulated or paper trading account. If you trade with real money while using the Service, you do so entirely at your own risk.
c. Not medical or mental health care. The Service is a behavioral performance tool. It does not provide therapy, counseling, psychological or psychiatric treatment, diagnosis, or any other form of medical or mental health care, and no output of the Service should be treated as such. The Service is not a crisis service. If you are experiencing a mental health emergency or thoughts of harming yourself or others, contact your local emergency services immediately (in the United States, call or text 988 for the Suicide & Crisis Lifeline). If you are dealing with difficulties beyond trading performance, consult a qualified professional. Behavior readings and coaching in the Service describe trading execution. They are not assessments of your psychological, emotional, or medical condition.
d. AI-generated content. Coaching conversations and related content are generated by artificial intelligence based on the information you provide. AI output can be inaccurate, incomplete, fabricated, out of date, inconsistent from one conversation to the next, or wrong, and may not reflect your actual circumstances. You agree not to rely on AI output as professional advice of any kind and to exercise your own judgment at all times. Statistics and behavior readings are computed from the records you enter and are only as complete and accurate as those records.
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is not directed to anyone under 18. You may not use the Service if you are located in, or ordinarily resident in, a country or territory subject to comprehensive United States sanctions, or if you appear on any United States government list of prohibited or restricted parties. We may refuse or close accounts in any place where offering the Service is prohibited or where we do not offer it. An invitation to join the Service does not override the sanctions restriction above.
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. Accounts are personal to you and may not be shared or transferred. Notify us promptly of any unauthorized use. We may reject, reclaim, or close accounts for abuse, chargebacks, sanctions, or security reasons. You are responsible for complying with any rules of your broker, prop firm, or employer that apply to your trading.
By creating an account, you consent to receive communications from us electronically at the email address on your account, including notices about your account, the Service, and changes to these Terms. Electronic notices satisfy any legal requirement that a notice be in writing.
a. Ownership. You retain ownership of the content you submit to the Service, including trade records, notes, chart images, and conversation inputs ("Your Content").
b. License to us. You grant Mechanical Trader a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate, maintain, secure, and improve the Service, including processing Your Content through third-party AI infrastructure to generate coaching responses, and reviewing conversations to evaluate and improve coaching quality and safety, as described in our Privacy Policy. Quality review is automated or performed on de-identified content. We do not read your conversations in identifiable form except with your consent, or where we reasonably believe it is necessary for safety, security, or legal compliance. Improving the Service means product features, prompts, evaluations, safety, and de-identified analytics. We do not use Your Content to train general-purpose artificial intelligence models. Our AI infrastructure provider processes Your Content to generate responses under commercial terms that prohibit it from using Your Content to train its models.
c. Your responsibility. You represent that Your Content does not violate any law or the rights of any third party. Do not submit credentials of any kind, records you are not authorized to possess, or personal information about others that you do not have the right to share.
d. Feedback. If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation to you.
e. Outputs. As between you and Mechanical Trader, you may use the coaching replies and other content the Service generates for you for your personal, non-commercial purposes. Generated content may not be unique to you, and we make no promise that it is protected by copyright.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service, other accounts, or related systems; (c) probe, scan, or test the vulnerability of the Service, or interfere with its operation; (d) reverse engineer, decompile, scrape, or copy the Service or its content except as permitted by law; (e) scrape or systematically extract Service content, or use Service content or output to build or train a competing product; (f) misrepresent AI output from the Service as professional financial or medical advice, or resell or redistribute Service output; or (g) upload malicious code or content.
We may suspend or terminate accounts that violate this section.
The Service is currently provided free of charge while it is in testing. Before we charge for any subscription, we will publish subscription terms, including price, renewal, cancellation, and refund terms, and ask you to accept them.
Coaching features are subject to usage limits that protect the quality and availability of the Service for everyone. The limits are set well above normal daily use. If you reach a limit, coaching features may pause until the limit resets, and you can contact us to have your account reviewed. Usage limits never restrict access to your own records: your trades, rules, setups, journal entries, and reviews remain available at all times. Limits may differ by plan. We may adjust them from time to time, and changes apply going forward.
The Service, including its software, design, text, and branding, is owned by Mechanical Trader LLC or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Your right to use the Service is personal, non-exclusive, non-transferable, and revocable. Nothing in these Terms grants you a license to our names, logos, or marks.
The Service relies on third-party providers (including hosting, database, AI processing, email, and payment providers) as described in our Privacy Policy. Providers that process Your Content on our behalf are covered by that Policy. We are not responsible for third-party platforms, brokers, or tools you choose to use alongside the Service.
You may stop using the Service and delete your account at any time from your Settings page, and you can export your data from the same page before you do. Deletion is immediate and permanent, subject to the retention described in our Privacy Policy. We may suspend or terminate your access at any time for breach of these Terms, for legal or security reasons, or upon discontinuation of the Service, with notice where practicable. Sections 2, 3, 5(b) (for the period Your Content was processed), 5(d), 5(e), 6, 9, 12, 13, 14, and 15 survive termination.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT USE OF THE SERVICE WILL IMPROVE YOUR TRADING PERFORMANCE OR RESULTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) MECHANICAL TRADER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (b) MECHANICAL TRADER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO MECHANICAL TRADER IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain limitations; in those jurisdictions, these limitations apply to the fullest extent permitted.
You agree to indemnify and hold harmless Mechanical Trader LLC and its officers, members, employees, and agents from any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of Your Content, your unlawful use of the Service, your violation of the rights of a third party, or your breach of these Terms.
a. Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Nothing in these Terms waives rights that cannot be waived under applicable law, including under the Texas Deceptive Trade Practices Act and the consumer protection laws of the state where you live.
b. Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect. The seat of arbitration is Bexar County, Texas. Hearings, if any, will be held by written submissions, by video, or in the county where you live, as those Rules provide, and you will not be required to travel to Texas. Mechanical Trader will pay its share of the administrative fees and all arbitrator compensation as those Rules provide. Either party may instead bring an individual claim in small claims court, including a small claims court with jurisdiction where you live. YOU AND MECHANICAL TRADER EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.
c. Venue. For any matter not subject to arbitration, the state and federal courts located in Bexar County, Texas have exclusive jurisdiction, and you consent to personal jurisdiction there.
We may modify these Terms from time to time. Material changes will be communicated through the Service or by email, with the updated effective date shown above. Continued use of the Service after changes take effect constitutes acceptance. Changes to Section 7 or Section 15 take effect for you only after you accept them again. Changes to Section 15 do not apply to any dispute of which either party gave the other notice before the change took effect.
These Terms, together with the Privacy Policy and the plan and price terms shown at checkout, are the entire agreement between you and Mechanical Trader regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. There are no third-party beneficiaries of these Terms. Headings are for convenience only. If these Terms are translated, the English version controls. We are not liable for delay or failure caused by events beyond our reasonable control. Our records of your acceptance and account activity are evidence of that acceptance and activity. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
